NaijaEx TERMS
1.0 INTRODUCTION TO NaijaEx TERMS AND CONDITIONS
THIS AGREEMENT CONTAINS VERY IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS AND EXCLUSIONS THAT MIGHT APPLY TO YOU. PLEASE READ IT CAREFULLY.
These Terms and conditions, any amendments and restatements hereof (the “Agreement”) form a legal agreement covering the provision of services from NaijaEx to you, including offering an open market to enable sellers of bitcoin to engage in transactions, offering hosted digital wallet services, selling bitcoin as instructed upon completion of a sales of bitcoin and any other services described in this Agreement (collectively the “Services” and individually, a “Service”) provided by NaijaEx and all of its affiliates, including but not limited to NaijaEx (collectively, “NaijaEx” or “we” or “us” or the “company”) to you as an individual (also referred to as a “user” or “you”). NaijaEx and its related Services are owned and operated by NaijaEx. Your use of the Services will be governed by this Agreement.
It is your responsibility (User’s responsibility) to ensure that he/she is aware of what is constituted within the NaijaEx terms and conditions.
It is also your responsibility also to be aware of updated terms and conditions at all times as your activities on the NaijaEx website concedes your acceptance of the NaijaEx terms and conditions at all times.
In order to make use of NaijaEx Bitcoin Services and ANY services on the website, you (The User) must be at least 18 years of age.
In a case where changes, updates and revisions are made to the NaijaEx website, it shall be subject to the terms and conditions listed herein.
The prices shown on the NaijaEx site(s) are only estimates as the actual price you will be selling the Bitcoin will be the Bitcoin price plus any commission price as at the time you are completing your transaction on naijaex.com.
NaijaEx reserves the right to deny transactions exceeding order amounts of sale of Bitcoin. The maximum and minimum sale order amounts are subject to change by NaijaEx without notice.
NaijaEx reserves the right to refuse service to any USER for any reason at any time. Therefore, a breach or violation of any of the NaijaEx Terms and conditions by any user will result in the termination of the User’s services.
NaijaEx will always be working assiduously to improve the website and keep it functioning at all times. NaijaEx will not be liable for the temporary unavailability of the site which will be sue to technical issues beyond our control.
2.0 ACCOUNT REGISTRATION
In order to use the Services, you must register for an account (“Account”) on the NaijaEx website. By registering an account, you agree to provide accurate, current and complete information about yourself as prompted by the registration process and to maintain and update such information to keep it accurate, current and complete at all times. Failure to do so may result in the suspension or termination of your account.
You are responsible for maintaining the confidentiality of your account credentials, including your username, password and any other information that may be used to access your account. You agree to notify NaijaEx immediately of any unauthorized use of your account or any other breach of security. NaijaEx will not be liable for any loss or damage arising from your failure to comply with these security obligations.
3.0 USE OF SERVICES
3.1 General Use of Services
By using the Services, you agree to comply with all applicable laws, rules and regulations, including but not limited to anti-money laundering and counter-terrorist financing laws and regulations. You also agree not to use the Services for any illegal or unauthorized purpose.
You agree to use the Services solely for your own personal use and not to resell, distribute or otherwise transfer any portion of the Services to any third party. You may not use the Services to engage in any conduct that could damage, disable or impair the Services, including but not limited to using any device, software or routine that interferes with the operation of the Services.
3.2 Digital Wallet Services
NaijaEx provides digital wallet services for Bitcoin. By using the digital wallet services, you agree to comply with all applicable laws, rules and regulations. You also acknowledge and agree that NaijaEx is not a bank or other financial institution and that the digital wallet services provided by NaijaEx are not insured by any government agency or other third-party insurance program.
You are responsible for maintaining the security of your digital wallet and for keeping your login credentials, including your private key, confidential. NaijaEx will not be liable for any loss or damage arising from your failure to comply with these security obligations.
3.3 Sale of Bitcoin
NaijaEx provides a platform for the sale of Bitcoin. By using the Services to sell Bitcoin, you agree to comply with all applicable laws, rules and regulations. You also acknowledge and agree that the price at which you sell Bitcoin may fluctuate and that NaijaEx will not be liable for any loss or damage arising from such fluctuations.
You are responsible for ensuring that the Bitcoin you sell is owned by you and that you have the right to sell such Bitcoin. NaijaEx will not be liable for any loss or damage arising from any breach of this obligation.
4.0 FEES
NaijaEx charges fees for the Services, including but not limited to fees for the sale of Bitcoin and fees for the use of the digital wallet services. You agree to pay all fees as they become due and payable.
NaijaEx reserves the right to change the fees charged for the Services at any time, provided that such changes will only apply to transactions completed after the effective date of the fee change.
5.0 INTELLECTUAL PROPERTY
The content and materials on the NaijaEx website, including but not limited to text, graphics, logos, images, software and other materials (collectively, the “Content”), are protected by copyright, trademark and other laws. You agree not to copy, modify, distribute or otherwise use any of the Content without the prior written consent of NaijaEx.
6.0 FEES
NaijaEx reserves the right to change fees, surcharges and commissions at any time and without notice to you. The fees are automatically calculated by our system and are displayed in your account. By using the Services, you agree to pay NaijaEx the fees for the Services requested by you. In the event that any fee is not paid in a timely manner, NaijaEx reserves the right to suspend or terminate your access to the Services.
7.0 TAXES
It is your responsibility to determine, collect, report, and submit all taxes arising from your use of the Services. NaijaEx is not responsible for determining whether taxes apply to your transaction, or for collecting, reporting or remitting any taxes arising from any transaction.
8.0 USER ACCOUNT AND SECURITY
In order to use the Services, you must register for an account on the NaijaEx website. You agree to provide accurate and complete information when you register for an account, and to keep your account information up to date. You are solely responsible for the security of your account information and for any activity that occurs under your account. You must keep your account information and password confidential and not disclose them to any third party. If you become aware of any unauthorized use of your account or password, you must immediately notify NaijaEx.
9.0 LIMITATION OF LIABILITY
NaijaEx will not be liable to you for any damages resulting from your use of the Services, including but not limited to direct, indirect, incidental, special, consequential or punitive damages, even if NaijaEx has been advised of the possibility of such damages. NaijaEx’s liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to NaijaEx for the Services during the term of this Agreement.
10.0 INDEMNIFICATION
You agree to indemnify and hold NaijaEx and its affiliates, officers, directors, agents, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement, your violation of any law, or your violation of the rights of any third party.
11.0 GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without giving effect to any choice of law or conflict of law provisions. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.
12.0 MODIFICATION AND TERMINATION
NaijaEx reserves the right to modify this Agreement at any time by posting the amended terms on the NaijaEx website. Your continued use of the Services following any such modification constitutes your agreement to be bound by the modified Agreement. NaijaEx may terminate this Agreement at any time, with or without cause, by giving you notice by email or through the NaijaEx website.
13.0 ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and NaijaEx and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and NaijaEx with respect to the Services. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
